This platform (hereinafter, ‘the Platform’) is owned by UROLOGÍA MÉDICO QUIRURGICA, S.L. (hereinafter ‘UROLOGY 3D’ or ‘we’), an entity with registered office at Paseo General Martinez Campos, 17 – Piso 1 Dr – CP:28010, Madrid, -– Spain and registered in the Commercial Registry of _____________, in Volume _____, Folio ___, Section _, Page ________ and with Tax Identification Number B88599113.

PLEASE TAKE A FEW MINUTES TO READ OUR TERMS AND CONDITIONS FOR CONTRACTING SERVICES OR PRODUCTS. IT WON’T TAKE LONG.

1. DESCRIPTION OF SERVICES OFFERED

The UROLOGY 3D Platform allows customers to browse and purchase products sold on the website.

These General Terms and Conditions of Contract (hereinafter, ‘GTC’) apply to the contracting of products advertised through the UROLOGY 3D Platform by the customer. Therefore, each time you are going to enter into a contract, we recommend that you carefully and thoroughly read these GTC, as well as the specific conditions, as they are binding on the customer, in accordance with Spanish regulations applicable to these cases.

By signing up, you agree to the following:

• That you are interested in purchasing the products offered through the UROLOGY 3D Platform and have sufficient legal capacity to do so. All of this is in accordance with the terms set out in these conditions.
• The express statement that you have read, understood and accepted, without reservation, these ‘GTC’, made available to you at all times and prior to contracting.
• The valid conclusion of a contract between the parties in accordance with these terms and conditions and applicable law and, therefore, their commitment to pay the corresponding fees and payments, as this is a sale of products with an obligation to pay.

• The language in which the contract between the parties is formalised and the contracted services are provided shall be Spanish.

2. APPLICABLE REGULATIONS

The relationship between the parties shall be governed by the formalisation of an electronic contract in accordance with Law 34/2002 on Information Society Services and Electronic Commerce (LSSICE) and Royal Legislative Decree 1/2007 of 16 November, approving the revised text of the General Law for the Defence of Consumers and Users (TRLDCU).

3. CUSTOMERS

Users of the Platform who wish to purchase products must be at least eighteen (18) years of age or, in the case of minors, be legally emancipated and, in any case, have sufficient legal capacity to enter into a valid contract. Furthermore, by accepting these terms, you declare that all the information you provide to access UROLOGY 3D, before and during its use, is true, accurate, complete and precise.

As a customer, you are solely responsible for the accuracy and truthfulness of the information provided during the purchase process. However, we may, at any time, request any supporting documentation necessary to verify compliance with this condition.

4. AVAILABILITY AND INFORMATION ABOUT THE GOOD OR PRODUCT

Our Platform has all the necessary information about the characteristics and availability of the goods and products offered. If, when processing your order, for any reason, the product is not available, we will inform you immediately and, in this regard, we will not charge you any fees in relation to it.

Additionally, each product is associated with further information that is usually linked or directly related to specific characteristics and technical specifications.

5. ACCEPTED PAYMENT METHODS OR MODALITIES

UROLOGY 3D collaborates with payment service providers to offer the most convenient payment methods and keep your payment information secure. In any case, when you make a purchase, you agree that you must not use an invalid or unauthorised payment method. In this regard, the following payment methods are provided:

• Credit or debit cards: Visa, Mastercard, American Express, and UnionPay.

• Payment platforms: PayPal, Google Pay, and ShopPay.

Payments are processed through secure gateways that comply with current European regulations. This means that transactions may require a strong customer authentication (SCA) process, such as SMS code verification, biometric recognition or double validation, to ensure maximum protection of your data and prevent fraud.

By using these methods, you also agree to the terms and conditions of use of the corresponding platform (see their official websites for more details: PayPal, Google Pay, Shop Pay).

Once payment has been made, an electronic invoice will be issued and sent to the email address provided during the purchase process.

6. PRICES

All prices displayed on our platform include applicable taxes, with the corresponding breakdown expressly indicated, where applicable, in accordance with applicable regulations.

In the event of a breach of the contractual obligations stipulated, UROLOGY 3D may terminate the contract between the parties by means of a written communication that may be sent by email to the address provided by you, and retain any amount relating to the order that has been paid to date, without prejudice to any additional claim for compensation for damages caused to UROLOGY 3D.

7. CONFIRMATION OF RECEIPT OF YOUR ORDER

Once you have successfully placed your order on the Platform, you will receive an order confirmation email.

Once the order has been placed and payment has been processed, no changes or cancellations will be permitted.

8. PERFORMANCE OF THE CONTRACT

Once you receive the email confirming your purchase, your order will generally be processed. Orders are processed every day, Monday through Friday, until [*] hours. Orders placed after [*] hours are processed early the following morning. This processing time may be delayed in the event of excessive demand.

In the event of non-performance of the contract by UROLOGY 3D due to the unavailability of the contracted product, as indicated above, you will be informed of this unavailability. If this unavailability occurs after the contract has been entered into, you will be refunded without undue delay any sums or monetary amounts you may have paid under the contract.

9. SHIPPING POLICIES AND COSTS

9.1. Geographical scope:

You can purchase the products from [*].

9.2. What is the cost of shipping?

Shipping costs are applied as follows:

• Deliveries within Spain: Free delivery.
• Deliveries to European Union countries: Flat rate of €14.99.

These amounts will be automatically added to the total purchase price during the payment process. Delivery times may vary depending on the destination.

9.3. Which transport companies do we use?

UROLOGY 3D uses different logistics and transport companies depending on the delivery address and nature of the orders. As a general rule, the companies responsible for managing our shipments are: [*]

9.4. Are there any shipping restrictions?

Currently, there are no shipping restrictions based on weight or size, although UROLOGY 3D reserves the right to modify this policy or condition of contract.

9.5 How long should I expect to wait for my order?

Once you have received the purchase confirmation message, your order will be delivered within approximately [*] working days.

If the order is placed from outside Spain, this period may be longer.

Delivery times may vary depending on the time of year and promotional campaigns.

9.6. What if my order has not been delivered?

If you do not receive your order, please contact us as soon as possible so that we can identify the problem.

In cases where the delivery address provided is incorrect or essential information is missing, resulting in additional difficulties for transport, we reserve the right to apply a surcharge to the delivery cost. The surcharge will only be applied when we consider that the incorrect or incomplete address has generated additional costs in the delivery process. In such cases, we will notify you of the situation and provide details of the additional amount before proceeding with the shipment.

In any case, if you have any questions about the status and delivery of your order, you can contact us and we will provide you with information based on the data and information that UROLOGY 3D has available at any given time regarding the order in question.

10. RETURN POLICIES AND WARRANTIES.

1. Right of withdrawal

You may exercise your right of withdrawal in accordance with applicable regulations, thereby cancelling the contract and returning the order received. The procedure to follow in order to exercise this right of withdrawal is as follows:

1. You will have a period of 14 days from the date of receipt of the order to notify UROLOGY 3D of your intention to exercise this right. You must send an email to info@urology3d.com stating the reason for withdrawal, the full name used to place the order and the order number.

2. Once you have informed us of your intention to exercise this right, we will provide you with an address to which you must send the products in question without undue delay and, in any case, no later than 14 calendar days from the date on which you informed us of your decision to withdraw.

Products must be returned in their original condition, without signs of misuse, damage or tampering, and with all original accessories, packaging and labels.

3. Once we receive the products at our facilities and verify that they are in perfect condition, we will proceed to refund all payments received, including standard delivery costs. If you selected a delivery method other than standard delivery, you will be responsible for paying the difference.

4. If the products do not arrive in optimal condition due to actions attributable to the customer, UROLOGY 3D reserves the right not to accept the withdrawal or to refund a reduced amount for the order, considering the depreciation of the product’s value. In this regard, by way of illustration but not limitation, UROLOGY 3D will consider the following circumstances:

• Packaging or wrapping that does not correspond to the original.
• Significant wear and tear on the product.
• Presence of stains, scratches or damage to the products.

The direct costs of returning the products shall be borne by the customer.

Exceptions to the right of withdrawal

The right of withdrawal shall not apply in the cases provided for in Article 103 of the General Law for the Protection of Consumers and Users, including, among others, the following cases:

• Customised products.
• Products that may deteriorate or expire quickly.
• Sealed products that are not suitable for return for reasons of health protection or hygiene and have been unsealed after delivery.

The description of each product will provide detailed information about whether it is a product excluded from the possibility of withdrawal.

2. Defective products

If a product purchased through the UROLOGY 3D Platform has manufacturing or quality defects, you will be entitled to request the return of the product and a subsequent refund or replacement. A defective product is understood to be one that does not offer the safety that could legitimately be expected, taking into account all circumstances and, in particular, its presentation, its reasonably foreseeable use and the time of its release onto the market.

The procedure in the event of defective products shall be as follows:

2. You must then send the product in question to the address we provide, in its original packaging, including all accessories and documentation that accompanied the product at the time of delivery.

3. Once we receive the product, you may choose between a refund for the amount paid for the defective product or replacement of the product with one in perfect condition or repaired. UROLOGY 3D reserves the right to choose between repairing or replacing the defective product, whichever is more appropriate and feasible. The choice will depend on the nature of the defect and the availability of similar products. If repair or replacement of the defective product is not possible, we undertake to provide a full refund, including the shipping costs associated with the defective product.

3. Guarantee

In accordance with current applicable regulations, all products in the UROLOGY 3D Platform catalogue are covered by a warranty in the event that the product is not in conformity. A three (3) year warranty is provided from the date of delivery.

The products shall be deemed to be in conformity with the contract if:

1. They comply with the requirements detailed in the applicable regulations.
2. They conform to the description, type of goods, quantity and quality, and possess the functionality and other characteristics established in the contract.
3. They are suitable for the specific purposes for which you need them.
4. They conform to the seller’s description, the qualities presented to the customer, their suitability for ordinary uses and the usual characteristics of similar products.

The warranty shall cover the repair of the product or its replacement with a new one, and if neither of these options is possible, a reduction in the price of the product or the termination of the contract shall be considered.

The warranty does not cover damage caused by negligence, impact, misuse or tampering, unsuitable voltage, electrical accidents, installation and/or use that does not comply with the instructions for use or is not carried out by an authorised technical service when applicable, or perishable materials or products subject to wear and tear through normal use or consumables. Furthermore, UROLOGY 3D shall not be liable for any lack of conformity that the customer was aware of or could not have been unaware of at the time of entering into the contract.

10. RESPONSIBILITY..

UROLOGY 3D shall not be liable for:

• Those losses that were not attributable to any breach on their part;
• Business losses (including loss of profits, income, contracts, anticipated savings, data, goodwill, or unnecessary expenses incurred).
• Any indirect or consequential losses that were not reasonably foreseeable by the parties at the time the contract for the sale of goods or products was signed between the parties.
• For any delay or failure to fulfil its obligations under these terms and conditions if such delay or failure is the result of circumstances beyond the reasonable control of UROLOGY 3D or attributable to any third party. This provision does not affect your right to receive the product within a reasonable time in accordance with Spanish law.

11. USE OF THE UROLOGY 3D BRAND AND CONTENT

The Customer acknowledges that all rights associated with the brand, logo and content hosted on the Platform are and shall remain the exclusive property of UROLOGY 3D.

The Client undertakes not to register or apply for registration, directly or indirectly, of any trademark, word, sign, domain name and/or anything else that may be identical or similar to and/or may create confusion in the market.

In any case, the Customer undertakes not to use the brand, logo or content hosted on the Platform (including, where applicable) in association with other brands, signs, words, figures, devices or anything else in such a way as to cause confusion, constitute a new or different source of origin for the Products or otherwise damage the unique and exclusive identity of the Products marketed by UROLOGY 3D.

12. DATA PROTECTION

Any personal information or data provided to UROLOGY 3D in the course of a transaction on the Platform will be treated in accordance with the Platform’s Privacy Policy and Cookie Policy. This policy explicitly covers and regulates the activities of UROLOGY 3D, the legal basis for processing, data retention, etc. This regulatory framework establishes the guidelines governing the protection and use of personal data, ensuring that it is handled in accordance with applicable regulations and practices.

By accessing, browsing and/or using the Platform, you declare that all the information or data you provide us with during the contracting process is true, accurate, complete and precise.

13. APPLICABLE LEGISLATION AND JURISDICTION.

These GTC are governed, in each and every one of their aspects, by applicable Spanish law. In the event of any conflict or divergence in the interpretation and/or execution thereof, or of any other specific conditions, policies and other legal notices provided on the platform, the competent Courts and Tribunals of Madrid shall have jurisdiction, with the parties waiving any other jurisdiction that may correspond to them. However, when the customer has the legal status of consumer, any disputes shall be submitted to the competent Courts and Tribunals at the consumer’s place of residence or at the place of performance of the obligation.

14. MODIFICATION OF THE GENERAL TERMS AND CONDITIONS OF CONTRACT

UROLOGY 3D reserves the right to make changes at any time to its Platform, to the policies, terms and conditions applicable to it or to the sale of goods and products through it, including these General Terms and Conditions of Contract. In general, as a user and customer, you will be subject to the terms and conditions, policies and conditions of contract in force at the time of contracting, and you will be informed, via the email address provided during the contracting process, of any planned changes in this area, sufficiently in advance for your due knowledge. If any of these conditions is declared invalid, void or for any reason ineffective, that condition shall be deemed excluded without such declaration affecting the validity or enforceability of the remaining conditions.
